Lawyers do not make decisions such as this, it's the client that does. A lawyer's role is to advise, sometimes very strongly advise, but for most things clients are still in control. And, first, you are assuming the client asked the lawyer about it, and second, that the client took the advice of the lawyer.
Within the lawsuit itself, the lawyer has more control, including ethical obligations, especially in federal court. But, this proxy solicitation was not a part of the lawsuit, so the lawyers would only have been involved if the clients made them involved with it.
That said, we are not talking about sanctions here (Craig, this time not you that brought a new topic in, as I realize you are merely responding here), but we are talking about injunctive relief.
