A really detailed review of the S-3 and prior filings shows that Fife has received and sold 17 million shares since December. He received all of those shares as payment for the November 30th note ($28.5 million face value with CYDY receiving $25 million).
The s-3 yesterday does not indicate that Fife received 5.7 million shares yesterday. He did not. He has received 3.5 million shares total in August (on the 4th and 18th).
The s-3 is attempting to register 5.7 million shares as required by the April notes. That is different than issuing the shares.
