You may want to read the corporate bylaws. It is up to the Board of Directors as to whether any proposals fulfill the bylaws of the corporation and will be presented at the annual meeting. The proxy filing for nominees violates SEC regulations so it would be the directors duty to not allow it on the ballot.
The alternative for the 13d is to get it before a judge. That it can be done in a timely manner seems unlikely. If it can do you think a judge is going to approve a temporary injunction when the 13d are in violation of SEC regulations?
So how much are you willing to pony up to pay Rosenbaum or an outside lawyer to bring a case? I wouldn't trust Rosenbaum to do it he can't even fill out a simple questionnaire properly. You might be able to get the ball rolling with a $250,000 retainer to a credible outside counsel. Then the fees will really start piling up once the motions start.
