If I were a greedy SOB here's how I would set up the deal as an inside 13der. Make sure the inner circle of the 13d own a piece of IncellDX (sorry pizza guys you're out of the loop). Sell to Cytodyn. Yes there are ways to do it for a very large chunk of shares without shareholder approval. They could even price it out so they now own 51% of the stock. All existing shareholders would be diluted all to hell.
Now find a big pharma that is willing to buy it cheap and offer golden parachutes to management and the board of directors. Don't worry Paul Rosenbaum will make sure sonny boy is part of management.
They could sell it to big pharma for $5 billion and come out smelling like roses. Because of the dilution even at the $3.12 a share or so they still take home a bit over $2.5 billion plus the bonus money. The shareholders get a 51% premium to the current share price but those who bought in mid-Covid get screwed.
