Can't speak for other industries but in the tech industry, as a Director you just don't leave a big company like Microsoft without some discussions, approval, etc.
1.) You would likely be walking away from your unvested stock options and RSUs that you certainly would be getting at the Director level. Not only can these be substantial, Microsoft stock doubled this year and has tripled for the last 3. Maybe a different story if it was going the other direction. You just don't give that up, but maybe they didn't have to? (see #4, #5)
2.) Why would they leave a company like Microsoft that is growing like gangbusters unless they saw a better opportunity?
3.) If Verb recruited someone without Microsoft's blessing, that would be a great way to tank the relationship.
"Hi Partner, guess what, we are stealing your employees. How do you like that partner?" It doesn't work that way.
4.) Some companies like Microsoft are good with a move like this as potentially they can drive more revenue for Microsoft even if Microsoft is just getting a small cut of whatever percentage they agreed on
5.) Some companies like Microsoft may like to embed ex employees within companies and later do an acquistion
6.) Nice to have an ex Microsoft CIO on the advisor board
