Beijing YouFeng shall have a sole and exclusive world-wide license for swine flu and shall pay the Company and Generex a license fee of $2.5 million less certain costs estimated at $500,000. YouFeng has agreed to amend the agreement to also provide for royalties of $0.50 per dose distributed by Beijing YouFeng. See Business—Ii-Key Swine Flu Vaccine--The Swine Flu Agreement.”
Is it me or does it feel like they gave away this Tech/IP as a sweetener? Really?
worldwide in perpetuity for $2m and $.50 a dose?? Feels like that should be a yearly multibillion revenue stream
If the Covid Vaccine fails in its clinical trials, the Company and Generex will compensate Beijing YouFeng through one of two methods:
1. Generex will grant Beijing YouFeng sole and exclusive use of its technology and related intellectual property in Excellagen for a license fee of $10 million less the $5 million paid to Generex pursuant to the Covid Agreement and the remaining $5 million will be paid to Generex following NMPA approval of Excellagen in China; or
2. Generex will grant the Beijing YouFeng with a sole and exclusive license for the whole Ii-Key platform which includes infectious diseases and cancer for a $50 million license fee less the $5 million license fee paid to Generex pursuant to the Covid Agreement.
I know htis is old news but am i reading htis right? If ii key vax fails we either
A) give away Excellagen for $5m ( World wide? No royalty's? YouFeng would take over suppling VA and also have all US rights?)
or
give away the entire ii key platform world wide for a 1x fee of $45m with no recurring royalties?
If it fails where? What if it passes in US but fails in China or vice versa

Payments to Third-Parties
We are obligated to pay up to [50]% of our revenues from the Covid Vaccine to certain manufacturers and consultants in addition to the 10% of our revenue we are obligated to pay to Generex. Our revenue from other Ii-key based products may also be subject to the fees and commissions of third parties who provide services in connection with those products or transactions.
All of these great revenue estimates only to find out that 50%!!! of revenue is already accounted for?? Before any other costs are calculated?
