One doesn't have to think hard about that. Omission of facts and overstatements are par for the course. If there was a guarantee that a new CEO could move the company forward and wouldn't lowball a buyout or otherwise screw over shareholders I would have no problem replacing Nader. There is no guarantee of that.

But that's no excuse for advancing false claims.
