"The SEC’s amendments to Rule 15c2-11 will effectively eliminate public quoting in securities of issuers that do not make current information publicly available. This means that without an alternative approach, such securities on the Pink Market will fall to the Grey Market. The Grey Market is an opaque market where broker-dealers are not willing or able to publicly quote OTC securities given the lack of investor interest, company information or regulatory compliance. OTC Markets Group has submitted a proposal to the SEC to operate an Expert Market as an alternative to the Grey Market.
"What is the Expert Market?
OTC Markets Group currently operates an Expert Market within OTC Link for a small number of companies. However, the proposed Expert Market would operate differently. Following the upcoming changes to Rule 15c2-11, the Expert Market tier will include the broader group of companies that will no longer be eligible for public quoting under the rule and will serve the pricing and best execution needs of qualified investors. Broker-dealers will be able to quote and trade Expert Market securities on OTC Link, however quotes in Expert Market securities will only be available to certain sophisticated investors, known as “Qualified Experts.”
"Why is the Expert Market Important?
"The Expert Market will offer an alternative to the Grey Market: a regulated trading venue where Qualified Experts can value these securities, access transparent price discovery and receive best execution through their FINRA member broker-dealer. Without an electronic platform to source liquidity, brokers have difficulty satisfying their best-execution requirements in Grey Market securities. It also offers regulators valuable insight into quotation activity that would otherwise be hidden in the opaque Grey Market.
"Who is considered a Qualified Expert?
"Qualified Experts include broker-dealers, institutions and accredited investors."
end of quote
no info companies will be relegated to the grey market as of sept 28 as per the posts on this previously if they dont provide the necessary info to to upgrade or uplist by June 30
I've noted I was very impressed by Brets brothers credentials but the whole otc market area is a very specialized segment of a very specialized subject matter(the stock market-where we learned nothing of value in law school so expertise has to come from practice in this very specialized area though the accounting and eco degrees are of great value in understnding this SM).
When my best friend dragged me in i didnt even know the penny market existed -and i had no interest in the stock market whatsoever=-can you say less than zero? But he kept begging me and it had become his whole life in desperation to avoid foreclosure after the great recession destroyed his construction company
so to help him i read thousands of pages and 10's of thousands of filings on thousands of stocks- i'm a rare giver in a world of takers - not a masochist
otcmarkers.com is a for profit co that saw a need for gathering and posting info re otc securities. otc's stated purpose is to increase transparency in order to aid longs in making intelligent decisions and to avoid scams.Of course as a for profit co its bottom line figures into decisions also.
otc intends to submit a proposal to allow accredited investors to trade such grey market co's(for simplification purposes sine i know the nuances are lost here)
if such proposal is accepted accredited investors will be able to see quotes for NNLX and trade it.
Otherwise if NNLX is relegated to the grey market who will be able to see quotes or trade it?
read the def of an accredited investor to see if you would qualify -some NNLX private investors already qualify as accredited investors.
sec investigations often last 2 years and in my experience with penny stocks they dont exonerate even when a judge dismisses all charges.
