Let me clarify a few things.....

DGF had been offered control of the company by Ziv and refused on more than one occasion....
They have refused to open their books repeatedly so Ziv could see exactly how much money they have taken in by converting and selling shares.
And understand that DGF has never had any interest in the company other than to convert and sell..and that is still true today..That is what this fight is all about...
In filing to take control of the company and remove Ziv and others and appoint Kugelman, DGF has installed their own puppet to carry out Kirkland's orders......
But this raises several questions..If Kirkland always had the ability to take control of the company why did he wait until now to make this move?
Why didn't he do this last March?
Also why does he now have to seek the remedy of a civil court in the USA in order to circumvent whatever Ziv is doing in Israel.?
Alternatively, how does what Kirkland did, removing and appointing directors have an impact on the dealings in Israel if Kirkland only controls the U.S. entity?
We know it had an impact in Israel because the appointment of new directors was highlighted in the information that came back from the court filing there.
So the question remains, who controls what and what is or isn't legal.
At some point DGF may find they have no choice but to open the books if they keep going to the courts as they are once again.
They are fighting also to not have this happen as I am positive there is information that will not bode well in their favor.
Does anyone really believe for one second that Michael Feldenkrais would be involved with Ziv if there was anything shady?
I challenge anyone who claims they are both shady to provide real verifiable proof that this is true.
The only shafy character involved in this is John Kirkland and DGF....
Don't get me wrong..DGF has a 5 million dollar loan agreement....
But the fact they won't negotiate a fair settlement with Ziv that has previously been offered and open their books is suspect.
Ziv maintained from day one when he came back that he would never be beholden to DGF...there is a provision in the loan agreement that would allow for a settlement...DGF has been unwilling to comply by negotiating reasonably and by opening their books.
It's anyone's guess how this all plays out..I believe at some point there will be a settlement of some sort...I could be wrong....
However the one thing I will never accept is having Ziv called out for attempting to steal anything from the company.
How is that even possible if the Israeli subsidiary is a separate entity with no creditors?
Also the validity of any moves that Kirkland has carried out may or may not be legal.
You can remove Ziv from the U.S. entity...you have no say over the Israeli subsidiary.....
Also Ziv's name is associated with the patent filings.....
Ziv called Kirkland's moves nonsense....we shall see...soon enough.
