SUTI and PRPM is about to be upgraded to "current status", and I just wanted to clear up some of the "noise' out there and address once again liars and idiots who are attempting to suppress our trading and hurt our companies. I'm posting here, because I'm sure that my posts and comments will be removed on other "boards", "forums", and some "chat rooms".
I just wanted to update everyone on this CEO JORGE issues, and hopefully get all that nonsense "behind" us. I'm sure that I will be deleted, but no worries, I'm posting on all media. Someone can finally read the truth!
Most of you don't know the story. There were several "deals" and "corporate actions" that Jorge the CEO was trying to file. I had already resigned at that time. However, Jorge, a CEO at SUTI and PRPM at that time admitted to me he was "lost" in the filings process! He wanted me to come back and help him. I explained, that IF I was to help, I would need access to all the back office accounts that the companies had such as FINRA and OTCIQ.
So, at first I did all the work, but Jorge still needed to review and file. So then, he admitted that he did not know how to read financials, and he was counting on his sister to help. She is a CPA, but at that time was not either able or willing to help. I also explained that he cannot do that process. The whole reason for CEO or other Directors to sign, is to be "on the record" that they reviewed and "signed off" on the validity of the reports and filings. So, Jorge and the BOD at that time asked me to come back and do all the paperwork. They asked me to return as a Chairman. Now, to address the whole ISSUE with Jorge and his resignation. During the filing preparation and review process, the CEO or other "responsible parties" name will appear at the bottom of Disclosure Statements. The FINRA, SEC and the OTC Markets OTCIQ formats want you to use this signature format ( /s/ Edward Vakser ) , in other words, it would've been /s/Jorge Saenz CEO . That would appear at the bottom of the last page. Just as you can see in all of our filings. So, there is NO hand written signature. That's how you sign.. So, to repeat myself. All of you who have ever worked with documents such as these, do know, that the SIGNAURE is already on the page even though, all the Directors, officers, CPA's and attorneys are still reviewing and updating the "work in progress". OK, so when "everyone" agrees on the final Version of the filings, say ( V7) , then the person responsible to be the "SIGNATORY" files and uploads the Documents on OTC Markets, using our "back office" access via "OTCIQ portal". So imagine that it's 3:30 pm, on Friday and THE last day that we had to file by 5:00pm!!! However, we don't hear from Jorge?? When I finally get him on my cell, he said that I shouldn't be so anxious to file, because we still had over an hour left!! So, I'm Dallas TX, and Jorge is in Chicago area, both are on Central Time Zone, however, SEC and all OTC Trading time is always based on NY i.e. EST time ZONE. So by then, we only had 15 minutes left till 5:00 pm EST. Jorge panicked, and admitted that he had problems uploading on OTCIQ portal. (Now for the record, that is THE simplest thing to do in the world!) But Jorge can't pull it off. So he emailed me back the confirmation of his approval, and asked ME to upload the file...and yes, it still had his signature, but when uploaded , it showed that I was the person who uploaded the file. When our investors, his friends, confronted him on the conference call after 5pm, after we "beat the deadline", he suddenly had an "amnesia" and claimed that I posted files without his "blessings". Well, I knew where that was going, however, since I did all the work with the CPA's and attorneys, and I too was an "authorized signatory", I simply updated the OTCIQ portal with a new set of files. The difference was that I signed off as a Chairman/Corporate Secretary....and that was it! There was no issue, and nothing was wrong, other than Jorge did not know the process and was trying to hide and cover up his ineptness and ignorance.
There were other issues with Jorge that we had to repair, and everything is good to go now. But I must admit, as I posted before that PRPM and SUTI did suffer and its taken us way too long to clear things!"
