EMPM: Saean wants to "reverse" what Sawyer did by

EMPM: Saean wants to "reverse" what Sawyer did by issuing himself all those preferred voting shares. In addition to that, they want to get rid of Sawyer, and replace him with a Saean friendly board. Saean defined the Sawyer preferred share issuance as "unlawful", and therefore those shares should be terminated.
And here's an excerpt from Motion regarding Sawyer's removal:

"Sawyer should be removed, and new management put in place that seeks the best interest of all shareholders, not just Sawyer and the other current officers."

So Saean wants to both, terminate the unlawful share issuance, and replace Sawyer and his board of amigos.
