I'm trying to understand the free stock program deals which Generex had made and trying to understand what are active. I don't have much experience understanding this language and would appreciate if someone can help me validate this please. I see there are 4 parties involved.
1) Anson master fund agreement
Aug 4 2020 - sold and issued 5,102,000 for 2M (private placement)
as a part of the agreed issued warrants
Series A warrants to Purchase 5,102,040 M shares @.392
Series B warrants to Purchase 15,306,122 SHARES @.392
Series C warrants to Purchase 10,204,080 @.539
Series D warrants initial zero ( but the qty increases on predetermined reset dates if the company stock price falls below the closing date price or reset price on the previous reset date ) - don’t understand what this means?
Q - we are talking about 30M shares and I don't understand Series D warrants and how many they contribute. Are they already issued?will we know how many ?
2) Oasis Agreement
Dec 6 2019 - 21,758,986 million of which 1,71,9901 is already given
Rest 20 million can be sold to Oasis at 92% lowest traded price in last 5 days time and at the discretion of Generex
Q - understand that 1.7 M is already with them. And the rest since it is at the discretion of Generex - I don't believe they would have done this yet at these prices.
3) First Fire
isssed and sold ( Jun 25 2020) a convertible note for principal act of $150,000 due Jun 25 2021
Registration rights agreement with FF
As soon as possible 2,000,000 shares which may be issuable upon conversion of the FF note
Q - are these 2M with FF now ?
4) CMF - 120K shares.. free bee .. in overall scheme of things this doesn't matter
Anson and Oasis are the big ones. I don't believe Oasis is active yet as it is under control of Generex and FF has only 2M shares . Is all the selling coming from ANSON ?
