What I am trying to say is....GNBT has to register
Post# of 36537
For example, GNBT agreed to sell 100,000 warrants for $.59....then there is a stock split, just for example, for every 1 share, there will be 10 shares...now GNBT is on hook to sell 1,000,000 (100,000 x 10) warrants for $.059 (.59 divided by 10) each.
That's why the numbers on S1 look way more in shares and way lower in price.

______________
I think the 8K has correct information -
My interpretation is the shares to be registered are high so GNBT does not have file another S1 in case there are stock splits, stock dividends or similar transactions.
(1) Amount to be Registered -
Represents shares offered by the selling stockholders. Pursuant to Rule 416 under the Securities Act of 1933, as amended, the shares being registered hereunder include such indeterminate number of shares of common stock, as may be issuable with respect to the shares being registered hereunder as a result of stock splits, stock dividends or similar transactions.
My interpretation for the offering price per share probably factor in possible stock splits, stock dividends or similar transactions.
(2) Proposed Maximum Offering Price per Share(2)
Estimated solely for purposes of calculating the registration fee pursuant to Rule 457(a) under the Securities Act of 1933, as amended.
