The fact is Rory filed the S1 for a few reasons

Sure, would love to raise money higher, but who's to say that a release of VerbLIVE will do the trick. Maybe promote what's being released.
Strike as the iorn is hot as the saying goes
Or collect money in an interest bearing securities and make money to use when truly "needed".

I can't say we won't drop, but to be sitting anything over the offering price is pretty astonishing to me.
