Update - Facebook: "I had a few investors request "more" clearance and transparency on how shares are issued and cleared. Although I'm sure that all of you know the rules,but I don't mind repeating some good points....
1. The key, when one acquires a public company, is to control and/or reduce (and preferably eliminate) as many NOTES and convertible debt as possible. The note holders CAN force the management and the company to issue new shares...Here, the management controls the notes, and as witnessed by the "in the street name" and "the float" NO NEW shares has been issued.
2. No Toxic Financing. No endless death spirals in endless shares dumped.
3. Affiliates, (defined as significant shareholders with 5% or more ownership, as well as; officers, directors and executives,) cannot deposit, convert nor sell shares when the company is NOT in "current status". That also applies to Broker Dealers, Market Makers and investment bankers.
4. However, IF shares were issued, they would have a 6 month hold, and any officer , director, board member or other affiliates cannot EVEN consider to deposit their share until they were no longer with the company for well over 90 days, which also has to be reported otherwise the TA will not issue and no BD will clear those shares.
Also, I just posted this response to another investor which also contributes to more transparency and better education for the shareholders.

AS reduction will be reflected in our state filings. And BTW, we just want to get through all that ex CEO's crap: Luther/Jorge/Billy BS, and just get "Current". The rest is elementary and very positive. FYI, AS has no bearing for now, because NO ONE can get shares/certificates nor clear or deposit them when the company IS NOT Current!!! Lets get current, in the meantime, I secured all the "outside" notes SO EVEN after we publish the reduced AS, no one will request to convert shares...That's the main purpose. Keep the float low, no TOXIC notes, no new shares in the float!!! Life's good....but DON"t listen to me....I'm NOT making any suggestions, nor am I telling you what to do.Nor am I issuing any advice or making any claims or making predictions. I'm invested here, and I am protecting all of our "shareholders values" and we are being as "transparent" as we possibly can.... 2 down ....several more to go...Q3 and Q4"
