One factor I can’t seem to figure out... What

What mechanism does Oasis provide for NGIO shares that the market does not?
Put as simply as I can: If NGIO shares spin to NAZ, at whatever price, Joe could effectively “put” any of the 20% of the NGIO shares GNBT is willing to part with (to keep 70+% holding) directly to the market at market price. What does Oasis’ involvement do there that the market does not?
The answer to that same Q but for the GNBT S-1 is different, because GNBT is on the OTC, and we have a much smaller market. But if NGIO does go straight to NAZ, what is added to warrant the Oasis “discount”?
In my head, if there are parties interested enough to buy the shares that Oasis buys from Joe, then those same parties should want to be buying shares on the open market, as that is the price Oasis will be selling shares on the NAZ anyway...
