The securities sold pursuant to this Agreement (the "Securities" consist of 3,159,215 units of the Issuer at a price of CAD$0.35 per unit. Each unit consists of one common share and one-half of a transferable common share purchase warrant. Each half warrant will entitle the holder to purchase, for a period of two (2) years from the date of issue (the "Expiry Time" , one additional common share of the Issuer at an exercise price of CAD$0.60 per whole warrant. In this Agreement, as the context requires "Securities" includes any shares issued on exercise of the warrants.
The net proceeds from the Offering will be used to working capital purposes.
