S1 was filed in 2019, scared investors away. The plan is not to dilute the stock. The intent is to grow company through acquisition and up list to the nation exchange. Eventually they will reverse split with a ratio between 1:10 and1:30 very small.
Future Undertakings
We intend to undertake a reverse split within the range of 1:10 to 1:30 to allow us to meet listing standards of a national stock exchange and to pursue a number of potential acquisitions. There are no assurances that this action will be approved by our shareholders, that our registration statement will be declared effective by the SEC or that our common stock will be approved for trading on a national stock exchange.
These guys have a wallstreet Investment Banker in MAXIM GROUP LLC, not your typical banker in the OTC and also Weinberg and Company as the Auditor.
Also, Kevin Harrington is on the Board of Directors, former Shark, from The Shark Tank.
