Oil, I'm afraid you are incorrect. The S-1 is waiting for the div to be reconciled so there can be a final share count. Only then can they approve the S-1 and move toward funding. In addition, they will wait for the NGIO spin to drive value to the GNBT balance sheet and increase the SP of GNBT. That will keep the dilution to a minimum.
Joe said he hopes the capital plan (# of shares, $ raised, etc.) will hopefully be publicized in about 2 weeks.
