San Marcos Texas, June 13, 2019 (GLOBE NEWSWIRE) -- Leading American cadmium-free quantum dot and nanomaterials manufacturer Quantum Materials Corp, (OTCQB: QTMM) announced today that it has received orders totaling $1 million for two high volume quantum dot production systems. The $1M order has been placed by Amtronics LLC and has been secured with a letter of credit issued by Assam Electronic Development Corporation Limited. The two systems are scheduled to be delivered to Amtronics LLC on or before June 30, 2019 and will be deployed at the Quantum Materials Corp’s licensee’ new Tech City site in Assam India, currently under construction with a target completion date of November 2019.

As reported by Amtronics, construction remains on track with no delays to the original schedule even given the fact there has been major expansion to the project's footprint as well as heavy rainfall and flooding experienced in this region during the Monsoon season. Completion date for move-in is still anticipated to be sometime in the mid-to-late fourth quarter of 2019.
Amtronics India LLCs CEO Dr. Tony Balchin stated, “Due to the substantial increase in size of the facility, initially specified at 20,000 sq. ft. and subsequently increased to 75,000 sq. ft., we are now including a multi-story quantum dot laboratory and factory complex incorporating the latest engineering & environmental technologies. Design work is nearly completed and we have appointed a local architectural/engineering company as the "Architect of Record" to prepare conceptual designs as well as execute detailed engineering plans of the project in accordance with all local regulations and building codes. In addition to our appointed local architects, we have engaged a "Lead Architect" experienced in factory and environmental design to ensure our project will be "state of the art". Site development including the artificial lake and infrastructure works in the commons areas have progressed well and are either done or are nearing completion. Test piling for the quantum dot facility has been completed and the structural design is being finalized at this time. As soon as the monsoon season is finished, we will be starting on piling and substructure work followed by superstructure works and we are confident that all above-ground construction of the building will be completed by November/December 2019. At this time we are negotiating with local building contractors/subcontractors and expect to commence above ground construction in early August of this year.”
Regarding specialized quantum dot production equipment for this project, construction of two high volume quantum dot production systems valued at $1M has now been completed. These units are now in transit for delivery to the new quantum dot production facility in Assam, India. The shipment of these two units clears the payment obligation for the first $700,000 of the sale amount which is being satisfied by a Letter of Credit established by ASSAM ELECTRONIC DEVELOPMENT CORPORATION LIMITED (Amtron) to fund this project. Once the equipment has been installed an additional $150,000 will be eligible for transfer to Quantum Materials Corp., with the final $150,000 eligible for payment to Quantum Materials once the units have been certified for production at the facility. Quantum Material's has also received orders for additional quantum dot process equipment totaling roughly $500K. That equipment order is scheduled for delivery during the 4th quarter of this year.

Originally planned to occupy 20,000 sq. ft., Tech City is now being constructed to a 75,000 sq. ft. footprint, with redesigned waste management and recycling systems to support the multi-story quantum dot laboratory and factory complex.
“Production of QDXTM Dots is expected to begin in Q1 2020, ahead of the completion of the entire facility,” said Dr. Tony Balchin, CEO of Amtronics India LLC, which is coordinating the project and is the licensee of QMC’s QDXTM Reactor technology. “Despite unprecedented monsoon rainfall in the region, our offsite prefabrication work has continued to allow for expedited installation onsite. Project funding is progressing as planned, which also allows us to advance onsite work.”
QMC intends to upgrade the reactors at Tech City to connect them to its QDXTM Ledger blockchain platform. This will allow the volume of quantum dot production, which is expected to be higher than originally budgeted, to be monitored and appropriate royalties recovered.

There was no construction anywhere in the Tech City at all since June except in the Common Facilities Centre and in building at the Gate whose construction started last October ahead of the announcement of the Licensing Agreement on November 19. There has to be an assurance that Amtronics is serious in the Agreement and a plan to house the reactors before such an announcement, not starting the construction only after the Agreement. Tony Balchin would not has ordered the reactor in June if there was no place to house it.

So Tony Balchin was saying quantum dot production will begin in Q1, 2020 in the building at the Gate which is "OFFSITE" from the interior of Tech City ahead of the completion of the Quantum Dot Application Product Manufacturing Complex (The Complex). The Complex will be located in Block 6, 7. As of November 18 construction of the Complex has not begun yet due to funding problem as he said project funding is progressing as planned (but has not been received) and will allow them to advance ONSITE work, that is, start constructing the Complex. The Complex is Amtronics's property and will be leased out to Amtronics's OEM customers manufacturing QD Solar Panel, QD TV Display and Solid State QD LED Lighting products with the "QDX" trade mark and the logo "Made In India":
San Marcos Texas, Nov. 19, 2018 (GLOBE NEWSWIRE) -- Leading American cadmium-free quantum dot and nanomaterials manufacturer Quantum Materials Corp, (OTCQB: QTMM) announced today that it has signed a License and Development Agreement with Amtronics CC to allow for the establishment of large scale, low cost quantum dot production for the development and future commercial manufacture of: ultra-high definition display panels (UHDTV); solid state lighting (SSL) LED's; and quantum dot driven thin-film solar cells (QDSC). The Agreement provides Amtronics CC with the right to manufacture quantum dots and thin-film quantum dot solar cells for commercial supply in India, as well as the right to use the QDXTM trademark and technical data to support its marketing initiatives.
Amtronics will supply quantum dots and solar films to its OEM customers in the Complex. It is logical that the 2 reactors have been shipped before end of June as described in the June 13 PR and have already been received and installed in the building at the Gate. According to Tony Balchin, quantum dot production will begin in the First Quarter of 2020. It is uncertain if Stephen has received the $2 million from Amtronics (licensing fee and sales of the 2 reactors), if he has, he may not announce it in a press release but he has to report it in the 10Q due on February 14, 2020.
Closeup view reveals flood water barricade around Tech City
As seen from the above close up photo, the land in the Tech City is elevated and has flood water barricade to prevent flood water from entering and to prevent land erosion. So the delay in construction of the Complex is not due to flooding but due to funding problem. Amtronics is a private company, it has the right to keep its financial matter confidential from the public, the comments Tony Balchin released in QMC's Press Release may not be all true, such as the construction of the entire project is going well, but it is true that the construction of the quantum dot producton plant has met the scheduled completion date of mid to end of the Fourth Quarter as witnessed from the November 26 aerial photo. Amtronics's deal with QMC is licensing QMC's propriertary continuous flow quantum dot production technology and ensuring that QMC's micro reactors will be securely housed while QMC's obligation is to provide technological support and to ensure the reactors will be functioning perfectly. Amtronics also demands that QMC will achieve energy conversion efficiency of 15% in solar film by May 2020 as well as upgrading to the latest version afterward. Amtronics's construction of the Complex and the dealing with its own customers is an internal matter and is not QMC's concern. But media news dated December 5 said that the Assam government has received 196 Crore (US$27 million) from the Central Government, that will help Amtron, the State owned company and joint venture parner of Amtronics to start the "ONSITE" construction of the Complex soon.

Closing Thought:
Investors should not have doubt the building at the Gate belongs to Amtronics. The Tech City layout plan shows only the Common Facilities Centre, nothing else and Amtronics is the only company operating in the Tech City, so that building at the Gate cannot belong to other company cannot belong to the Tech City management. Investors should be puzzled by the ambiguous information in QMC's press releases which originated from Tony Balchin, he talked about "onsite" operation and "offsite" operation, he talked about completion of the facilities by November right on schedule and quantum dot production will begin in Q1, 2020 and he talked about "funding is in progress that will help the ONSITE work". Because there are 2 projects in Amtronics operation: One project is to deal with QMC and the Licensing Agreement and the other project which has nothing to do with QMC but is an "internal affair", it is to deal with its future sales of quantum dots and solar film. The "offsite" building at the Gate is to house the 2 reactors Amtronics ordered in June and is scheduled to produce quantum dot in Q1, 2020. The "onsite" Complex whose construction has not yet begun will deal with Amtronics's future sale of quantum dot and solar films to its OEM manufacturer customers in Solar, Display and LED Lighting applications. Tony Balchin simply blended the 2 operations together as one, that is why it is confusing.

The best phenomenon for price surge is no news, for the bullish sentiment reflects investors' confidence in the the company's potential and success without driven by news. If there will be good news on the Anti-counterfeit project, certainly share price will surge above the Neckline at 3 cents back to 4-5 cents area, forming a "fail break" phenomenon in the "Head-And-Shoulder" chart pattern. If the delinquent Reports, along with the next due 10Q will be filed simultaneously reporting some $2 million revenue, it will send share price will soaring, hopefully to 50 cents area.
