EXPLANATORY NOTE
The Company’s current registration statement on Form S-3 (File No. 333-216191), as amended, was declared effective by the SEC on March 10, 2017. This registration statement on Form S-1 constitutes a new registration statement filed pursuant to Rule 415(a)(6) and a conversion of the registration statement from a Form S-3 to the Form S-1, because we are ineligible to use Form S-3 due to a late filing of Form 10-Q for the 1st quarter of 2019 on May 14, 2019, instead of May 10, 2019, from the confusion over dual classification as both a smaller reporting company and an accelerated filer.
