That's very interesting... key statement for me, regardless of Joe's gut feel statements:
"On the date of this announcement, the Company did not meet all of the initial listing criteria, such as the stock price requirement, however, the Company believes that events in process will enable it to meet the initial listing criteria at the $4, $3, or $2 stock price thresholds."
The statement about the div being contingent upon uplisting was removed in the later PR, so I believe that no longer applies.

I think its always good to re-read and confirm previous PR's and LOI's. PR's can have a huge impact on PPS and management planning and duediligence. Because its a fluid situation and business can change on a short notice its imo important to be cautious when releasing PR's.
