Notice is hereby given that a Special Meeting of Stockholders (the “Special Meeting”) of Innovation Pharmaceuticals Inc., a Nevada corporation (the “Company”), will be held on Thursday, September 19, 2019 at 10:00 a.m., local time, at the DoubleTree by Hilton Hotel, Wolverine A, located at 4747 28th Street SE, Grand Rapids, Michigan, 49512-1915, for the following purposes:
1. To consider and, if appropriate, approve an amendment to Article III of our Amended and Restated Articles of Incorporation to increase the number of authorized shares of the Company’s Class A common stock from 300,000,000 shares to 600,000,000 shares (the “Increased Capitalization Charter Amendment”);
2. To approve the adjournment of the Special Meeting, if necessary or appropriate, to solicit additional proxies if there are not sufficient votes to approve and adopt the Increased Capitalization Charter Amendment (the “Adjournment Proposal”); and
3. To transact such other business as may properly come before the Special Meeting or any adjournment thereof.
If you owned our common stock at the close of business on August 8, 2019, you may attend and vote at the Special Meeting. A proxy statement describing the matters to be considered at the Special Meeting is attached to this notice.
Your vote is important. Whether or not you plan to attend the meeting, I hope that you will vote as soon as possible. You may vote your shares by either completing, signing and returning the accompanying proxy card or casting your vote over the Internet.
