I am sure, IMO, that doc is attaching a "restricted" clause to any shares given to subsidiaries. These restrictions are typically 6 months, one year, 18 months, etc. or a combination thereof. This is part of the negotiations to whatever is required to get the deal done. This "meters out" the stock so it doesn't hit the markets all at once.
