LLC vs. Corporation: Management and Profit-Sharing
Corporations have a standard and predictable management structure. Every corporation must have a board of directors that oversees the “big picture," officers who run the business day to day, and shareholders who own stock in the company. Shareholders meet annually, and they receive company profits based on the number and type of shares they own. It's relatively easy to add new shareholders to a corporation, or to transfer shares from one person to another.
LLCs don't have to use any particular management structure. They can be managed by their owners (who are known as “members") or by a group of managers. There are no required job titles, and a small member-managed LLC might be run rather informally. OK, whatever. If you haven't been around the block once, this is how they try to pay the staff. For everyone of these silly "styled" lawsuits, 20-30 are yelling, "PICK ME YOU DUMB ASS". I need to buy the office a round of baloney sandwiches.
I posted yesterday, go to Howard, Fine and Howard's website again and see how many of these lawsuits actually get anywhere. Yeah, if a car catches on fire, breaks don't work, they are on there. Billions at stake.
Look really hard and long for a case where the CEO 8-K'd everything and what was in video was protected by safe harbor.
I could defend this in 5 minutes now since I looked it all up.
It was a "stunt" plain and simple.
But this "stunt" will/may lead to unraveling one final piece.
