Dilution:
When the number of shares outstanding increases, each existing stockholder owns a smaller, or diluted, percentage of the company, making each share less valuable.

Sometimes a loose definition of dilution is used when the market “sees dilution” from a debt holder selling big blocks of shares. As the outstanding share count is not increasing with this sale, dilution, in its literal sense, is not occurring. The dilution occurred earlier when the debt was converted to common shares.
