This Wholly Owned Subsidiary in Irl. has to have NEW
Board members.The Parent (IPIX) is entitled to appoint
the new Director's,But' the new Dir's must be allowed to manage
the affairs of the subsidiary,and the Parent should not interfere
excessively OR possibly be liable as 'shadow Director'
Director's of Subsidiary are expected to run the subsidiary as
an autonomous entity and the independence of the Board of
the subsidiary to make decisions on it's own mgmt,separate from
the Parent group,must be emphasized and facilitated in practice.
