I think you are correct about the situation with Paulson, in that it is highly unlikely that a majority of Shareholders would authorize more shares. IMO, large block Shareholders are more inclined to a deal, sooner than later. Of course, Pestell might be more inclined to move forward and maintain control of the development process, but I've never spoken with him, so could be way off base. With 22MM shares, how he "leans" has weight.
