One March 27, 2019, in anticipation of the departure of Jeffrey Ronaldi from his position as the Company’s Chief Executive Officer, the Board of
Directors (the “Board”) of Document Security Systems, Inc. (the “Company”) determined to reassign Mr. Ronaldi’s responsibilities to Philip Jones, the Company’s current Chief Financial Officer, who will now also serve as interim Principal Executive Officer. The Board has determined to work with Mr. Ronaldi over the next two weeks to resolve the details of his departure.
Additionally, on March 27, 2019, the Board appointed Mr. Fai H. Chan, a current member of the Board, as the new Chairman to replace Mr. Ronaldi in that capacity. Mr. Ronaldi continues to be a member of the Board.
Messrs. Jones’s and Chan’s biographical information is included in the Schedule 14A Proxy
Statement filed with the SEC on April 18, 2018 and incorporated herein by reference.
