The Pizza Fusion brand will become a wholly owned subsidiary of the parent company Unique Foods Corporation. Pizza Fusion was the world's first restaurant chain to adopt organic restaurant certification; today it has franchised locations in the U.S. and in Saudi Arabia. In the upcoming months Unique Foods will be announcing an Organic, Gluten-Free, CBD-Infused, Frozen Pizza under the Pizza Fusion Brand.
Unique Pizza Corp Asset Purchase of Pizza Fusion Holdings Inc.
Under the terms of the Asset Purchase Agreement, UPZS acquired 100 % of the assets of Pizza Fusion Holdings including but not limited to: all current and future franchise fees paid by current and future franchisees; all existing and future franchise and licenses agreements; all current and future product usage rebates and marketing funds; upfront and ongoing franchise fees paid for future territories domestic and international; all owned trademarks and service marks; any and all inventory of logoed Pizza Fusion items including but limited to, shirts, hats, signage, marketing material (printed and electronic) etc.; complete control and access to all social media and internet platforms including but not limited to, Twitter, Facebook, Instagram, Google, website etc.; copies of existing franchise agreements, product rebate and marketing agreements, master and territory agreements; word version of Franchise Discloser Document and all other working documents; provide contact information {name, phone number(s), address(s), email(s)} of any and all individuals, companies, franchisees, vendors etc. that Pizza Fusion conducts business with.
