Although Reg As are made to order for companies like DECN, the SEC approval rate until July 1 last year was in the 20% range and rarely a Tier 1 Reg. A. DECN filed its Tier 1 Reg. A on July 31, 2018, and received the "no comment" letter from the SEC less than 4 weeks later after a very nice conversation initiated by SEC staff. "No comment" letters are very rare. It means the registration statement was so well written that no questions arose. It means that the SEC believes what they read in the company's business discussion. It means that the company made a case for the raising of $7.5 million based on their business discussion. It remains to be seen if the company will be successful in their money raise, or what and how much they plan to raise. But the fact that they are not using a brokerage is a sign that the company believes it has enough friends without resorting to raising money from strangers.
The company was indecisive about going through with the registration and said so in its 3Q 2018 Quarterly. So they took their time and Blue Sky-ed the registration only in New York and I am told only made the decision to proceed during the government shutdown. They expect to file in the next day or two, but no later than Wednesday and ask SEC staff for a "Qualified" date of Friday, March 1.
Do not believe anything you read from the share price is everything and the only thing crowd. Registrations are beyond the understanding of these people. A qualified registration statement will put to rest all of these crazy azz rumors that Mr. Berman is a crook, that he is under investigation by the authorities, that he is guilty of malfeasance and all of that other crap. Once their feeble accusations are debunked the crowd can sell. Except many do not own shares. If the iHub faux expert guides them wrongly again, they can only blame themselves since a qualified registration statement exonerates (as if he really needed it) the man these gavonnes love to hate.
Oh and by the way, the disclosures and descriptions in the registration statement that everyone will get a chance to read will give everyone a clue as to what they plan to say in the Annual Report. The formats in the registration statement and the Annual Report are similar. And most of what has happened post December 31, 2018 has happened.
Finally, one the registration is qualified the company will amend again in about 45 days with 2018 full year financials and file that with the SEC. Once that is completed, there is a little known about upgrade option that OTCMarkets has offered to the company in the past.
