"The SEC already passed on it review by offering a "no comment" letter which will be posted by the SEC 10 days after the Registration is declared Qualified. A "no comment" letter means that there are no further issues with the Registration and nothing is missing. The only things required at this point are:
1. is the company going to use a licensed brokerage to sell the registration, who the broker is and whether they have registered to sell these type of Registrations. Answer: No, no broker needed.
2. whether the company is cleared to sell the registration statement in any state (Blue Sky). The company already chose New York.
So changes to the business plan, updated financials to September 30, 2018 are built into the registration statement, and a discussion with the SEC about Effective date, and the company is done"
