Won't be a "Bank", it will be a private equity fund. Investment banker earns it's fee and Investor gets ownership piece of SWS. So, although true that no direct dilution to ANDI, if ANDI owns 100% of SWS (which is the definition of a subsidiary), then once the "deal: closes, ANDI will then own 100%LESS whatever % the investors get. Kapiche?
