I got through to Todd Falls. He said the ruling came from their lawyers. I also sent him an email with a link to the SEC site and I quoted the paragraph of interest. He said he would forward that to the lawyers and others to look at further.

He is a friendly talkative upbeat guy. Had quite a long conversation which helped me get a good feel for what they are doing.
