(the “Company” or “New Carolin”) (TSXV: LAD | OTCBB: LADFF ): New Carolin is pleased to announce the results of its annual general and special meeting of shareholders (the “ AGM ”) held on Tuesday, December 18, 2018 in Vancouver, Canada. Shareholders voted in favour of all items put forward by the Board of Directors and management of the Company. All five of the individuals nominated for the Board of Directors - Robert L. Thast, Richard T. Gillard, Kenneth R. Holmes, Robert P. Lunde and Christopher Taylor - were elected at the AGM and will serve as directors of the Company for the ensuing year, other than Robert Thast who has resigned from the Board of Directors subsequent to the date of the AGM, as further disclosed in the Company’s press release dated December 26, 2018.
The shareholders of the Company also voted in favour of (i) appointing Crowe MacKay LLP, Chartered Accountants, as auditors of the Company for the ensuing year and authorizing directors to fix the auditors' remuneration; (ii) re-approving the Company's incentive stock option plan; and (iii) approving the re-pricing of certain stock options granted under the Company’s stock option plan.
