We all understand that mergers and acquisitions are complex and often very difficult - just think about how often 3 team trades do not work out in the NBA - just too complex !!
Dr Dalton has a huge amount of integrity. He has also stated that UNVC share holders are very important to him.
The deal with MariMed in my opinion could have been done leaving UNVC shareholders out of the deal, however that is not how Dr Dalton operates.
To protect UNVC shareholders (and probably only Dr Dalton has the NOBO list, so only he knows who the shareholders are and how many shares each shareholder has), the MariMed deal needs to be completed before the filings.
It is possible (just a scenario I thought of) that Dr Dalton does not want MariMed to know how many shares "insiders" have and how many shares all of us shareholders have. We do not know how many people working for UNVC have been paid in salary and shares over the years as there have been no filings.
Dr Dalton has stated the float is low. For this to be true, the majority of shares are held by insiders, people paid in shares as part of their compensation (possibly) and the rest of us.
- I am guessing - except for Mikey who has posted his number of shares, no one else has - so I am completely guessing and I could be way off (either too low or too high) !!
Dr Dalton in this scenario does not want to compromise the MariMed deal by revealing to MariMed the total number of UNVC shares that are owned by everyone nor does he is any "way shape or form" want to hurt UNVC shareholders.
Hence the filings will only be published after the MariMed deal is "signed and sealed".
Quite clearly I have too much time on my hands as I do not have any work to do and Junebug's post sent my mind into "scenario mode".
All my own opinion and I can be 100% wrong !!
