Hey DDawg, Not correcting you. Just offering a thought on how/when Berman may reduce the A/S. He already has On4 Colorado set up, along with Hexagon Colorado. There’ll be a fee to reduce the O/S (retire his shares) at either Delaware or Colorado. I believe his plan is to reduce the On4 Delaware O/S shares now but wait to reduce the A/S until the domicile in Colorado happens.
On4 Colorado merges with Hexagon Colorado, with Hexagon being the surviving entity; adopting the share structure of Hexagon Holdings. Hexagon has the reduced A/S as part of the share structure; therefore, no fee incurred for reducing the A/S since it’s already built into Hexagon Holdings.
