LOL- I'm just a dumb dirt lawyer- I'm as lost as everybody else here- However, it's certainly possible that "ANDI", the public company, can rid/shed itself of the "Utopya subsidiary" assets (Whatever they are, if and to the extent any exist) in any number of simple ways, thus letting the "transferees/buyers" of such assets to run with Utopya as they see fit free and clear of ANDI, the public company, and leaving ANDI once again as a "public shell", into which White can merge in a new business venture, real or imagined. In theory, the "buyer/transferee" of the Utopya subsidiary "assets" would have to pay "consideration" to ANDI, the public company for such assets, but if and to the extent that is the case (and who the F-ck really knows at this point) don't bet on that consideration being a large "cash" number. For those still looking for some sort of silver lining through the rosiest of colored glasses, if Utopya is being "spun out" of ANDI, ANDI will get some shares in whatever new entity will run with Utopya going forward (again, making the huge assumption there is an actual Utopya Phone business), and White will have a not-so-dirty shell to play with going forward.
