Disclosure:
I have been trying to figure it out, and I must admit, I’ve never seen anything like this, so this is all speculation, strictly a guess. Also, I’m not an expert.

The A/S increase was “preparing for growth” in that they plan to issue shares as payment for an acquisition. Not toxic dilution shares, insider/owner payment for the company. As I write this, sounds more like a merger, but whatever.

The public offering of shares at .005 was written for 12 months, or until 1bil shares were bought. That is obviously not attractive while trading at a 5th of the price. This makes me think Orie believes the PPS will be above .005 within the next 12 months, which would them make them attractive.

Those shares obviously must be bought through outside channels (not my e-trade, there’s no option for Public Offering shares). So, when the price is above .005, those contracts will get bought (in the state of New York, per the Form 1-A) and issued without causing any trade activity dilutive towards the stock. Then, that money would be issued to the acquisition company as a down payment. Totaling about $5mil.

The point is, this tells me Orie believes we’re going to be priced above .005 in the next 12 months. So I’ll be holding, and adding when I can. As to what his plans are, most likely an acquisition/merger... the question is, what company? The only clue is, Orie is making big moves... so it’s not something he can fund himself (like in the past), it’s much bigger than that.

Please feel free to point out anything false about my prediction/guess. Or differing opinions. If this sounds realistic to everyone here, I might post on the other board.
