On September 6, 2017, the Company entered into a common stock purchase agreement with Aspire Capital which replaced the prior $30 million Aspire Capital stock purchase agreement and provides that, upon the terms and subject to the conditions and limitations set forth therein, Aspire Capital is committed to purchase up to an aggregate of $30.0 million of the Company’s common stock over the 36-month term of the Purchase Agreement. The Company also issued 300,000 shares of its common stock to Aspire Capital as a commitment fee. As of June 30, 2018, the available balance under this 2017 Agreement is $22.3 million. As noted above, sales under the common stock purchase agreement are conditioned upon the closing sales price of our common stock being at or above $0.25 per share.
On June 28, 2018, we entered into a Securities Purchase Agreement with Aspire Capital, pursuant to which the Company has agreed to sell up to $7.0 million of shares of the Company’s Class A common stock to Aspire Capital, without an underwriter or placement agent.
