(NYSE: MD ) (“Mednax” or the “Company”) securities during the period between February 4, 2016 to July 27, 2017, inclusive (the “Class Period”). The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that Mednax’s business model was not sustainable and its growth was based upon suppressing physician compensation and enforcing non-compete agreements to deter physician defections.
According to the complaint, following a July 28, 2017 announcement that the Company had not acquired any anesthesiology practice groups for that quarter and that the chance of it acquiring any more was remote, the value of Mednax shares declined significantly.
