Obviously, the facts must be proven, but if they are as claimed, RMHB would seem to have a compelling case against Grisaffi (whose name I've been spelling wrong for years) and the others. His only possible defense appears to be an indemnification agreement the Board gave him. I'm not familiar with Texas contract law, but presumably if the indemnification agreement was secured without full disclosure of the potential risks (as appears to be the case here), a court would deem it invalid.
The court filings are very professionally done. I'm optimistic.
