Let’s play a little what if scenario. I’m not saying this happened but let’s see if we can connect some “potential” dots.

Last Q shows little evidence to support a phone business. OK. And all the subsidiaries are included in the report. Got it.

However there is no record of what how much he gave and what compensation he received.

One day later Corbin Hardy receives 200 million free trading shares from ANDI.

And as you are very well aware of Corbin Hardy and Darryl Green are connected via Dynamic Ventures.

Hmm that’s interesting timing. Did Corbin (or Dynamic Ventures including Darryl Green) finance part of this operation and the company use Darryl Green, because of his past accomplishments and status, as the face of the transaction!

It was also noted in the PR that it was Utopya Innovations that secured the financing, not ANDI.

TORONTO, Dec. 19, 2017 /PRNewswire/ -- Christmas is coming early at Utopya Innovations Inc. today as the emerging technology company revealed that it has secured financing from Mr. Darryl V. Green, who will also be acting as an advisor to the company.

Now at this time Utopya is a wholly owned subsidiary of ANDI based on merger (that was confirmed in last Q and PR in November), BUT the paperwork was apparently not completed until sometime after January 31st as Nodummy pointed out based on D series shares showing up on the second Q and no record of Utopya as subsidiary on 1st Q. So record of any investment in Utopya Innovations would not show up on the books. But the parent company could issue shares and it appears they did as payment.

Q: What will Darryl Green's investment be and what's his involvement?

A: Firstly, we're incredibly excited to have Darryl sharing his expertise with the team. Second, his investment was a private equity transaction and because it was prior to our merger with Andiamo we have chosen to keep this in house for now. Third, Mr. Green has agreed to assist in any way he can but his role is as an advisor.

So manufacturers of phones are gonna want down payments and capital before they begin anything. Utopya (Not yet fully merged with ANDI) begins manufacturing phones after using funds provided by Darryl, Corbin and the gang for the manufacturing, R&D, etc. That money is now spent and will not show up on financial statments because money was swapped for phones.

Now as I have explained. There was software listed on the Q ending in January. Over 500,000 dollars, but it is missing on the second Q. An argument was made about what that software was.

BUT...

Problem with that is while ANDI may have sold one of those app companies, they kept the other one. IF THE APPS WERE THE SOFTWARE THEY WERE TALKING ABOUT THEN ANDI WOULD STILL HAVE SOME VALUE ON THE BOOKS FOR THE SOFTWARE LISTED FROM THE OTHER APP COMPANY THEY KEPT.

So what was the software and where did it go?

Well the only reasonable explanation is that the software is for the phones. Is it missing?

No. Probably a simple accounting trick where the parent company, which acquired the software in the merger, transferred it back to the subsidiary, likely for some sort of small payment from Utopya(the subsidiary). ANDI would receive payment and Utopya would control the software and since it was an intercompany transaction the only thing showing up on the balance sheet for ANDI would be the revenue for the sale of the software. The same goes for the phones. ANDI sells phones back to its subsidiary Utopya and receives revenue, which could explain why they have an extra 23k revenue. Phones and software worth a lot more then that but it’s like a parent transferring a car to their kid. You make them pay a fraction of what it’s actually worth in order to cover for legalities.

Now I don’t want to toot my own horn but I was correct about the merger and I’m gonna go out on a limb and say I’m correct about the phones as well. This may not be exactly how it went down but there are all kinds of accounting tricks that can make things appear different then they actually are.

Back to the whole major companies like Amazon for example operating at a loss. They aren’t actually losing money it’s that they have good accountants who are able to find ways to help them pay less taxes, etc.

Why does ANDI/UTOP not want to disclose more about the phones? Maybe they don’t want competitors knowing how much they spent on manufacturing. Or how much product they have ready for sale. Lots of reasons. In the highly competitive tech industry it’s not a good thing to show your hand until everything is ready. That rollout is likely very soon though. Are U ready?
