Galectin Therapeutics Inc. (NASDAQ:GALT) announced a key director was elevated to the position of Chairman of the Board of Directors and that Kevin Freeman was elected as the Vice Chairman. What is so noteworthy about this press release is that it signals the businessmen are now in control of the company. The doctors have presided over 3 successful phase 2 clinical trials in atopic dermatitis, plaque psoriasis, and NASH cirrhosis. Now that major milestones of the Phase II trials have been completed, the influence of the doctors is secondary. While the Phase 3 trial design detail is ongoing, the partnering activity with big pharma is now front and center. There is a major risk whenever there is a change in control at the board level of any company, and with limited biotech experience, investors should consider conservative posturing to see how leaders perform under stressful situations. In 2017, Mr. Uihlein was elected as a director and does have some hands-on experience and is currently the CEO of Uline which is a shipping supply distributor. His strong support of the technology and GALT was demonstrated by him giving Galectin Therapeutics a non-dilutive 10 million dollar unsecured credit line. Billionaires take control of companies all the time, but what's different is that Mr. Uihlein is personally involved in the direction of the Company.
Company Positioned for a Takeover
The recent 8-k filing of the shareholder votes contains a vital clue to the new Company direction. There were 3 executives the CEO, COO, and CFO that were given "Transaction Bonuses" up to 300% of their base salary and a retention bonuses of 75% of their 2018 salary if a transaction was consummated by January 1, 2019. This is incentive to complete a buyout or partnership. Investors need to wake up and realize that is literally 6 months away, and, typically, the stock market is discounts events about 6 months into the future. These executives have extreme motivation to get a deal done and fast because if they don't, they are going to be miss out on the chance of a lifetime.
