TORONTO, May 29, 2018 (GLOBE NEWSWIRE) -- AIM1 Ventures Inc. (“AIM1”) (TSXV:AIMI) is pleased to announce that it has received conditional approval from the TSX Venture Exchange (the “TSXV”) in respect of its qualifying transaction (the “Transaction”) with James E. Wagner Cultivation Ltd. (“JWC”) pursuant to Policy 2.4 - Capital Pool Companies of the TSXV.
In accordance with the previously announced business combination agreement dated April 10, 2018, 2622627 Ontario Inc., a wholly-owned subsidiary of AIM1, will amalgamate with JWC. The amalgamated entity will continue under the name “James E. Wagner Cultivation Ltd.” and will be a wholly-owned subsidiary of AIM1. Prior to closing of the Transaction, it is intended that AIM1 will change its name to “James E. Wagner Cultivation Corporation”. The transaction is expected to close on or before June 6, 2018.
