Part of your disappointment with the 10-K is that you, along with many others, put too much emphasis on its impact. What it is essentially is an audited accounting of their finances and a re-cap of what they have, for the most part, already told us. They've done just that. They have approximately $1 million in working capital for 2018, and they have reaffirmed the timelines of what they are working on. They have also elaborated on their existing collaborative and business relationships.
Forward looking statements are part of every 10-K issued by every company, no matter how well they are doing, or what business they may be in. It's a SEC requirement. As for not filing on time, what are you referring to? The SEC rules are very specific. Every company is legally allowed an extension, and as long as the filing is done within the dictated timelines, then the company is considered to be compliant! There is no black mark or asterisk or other negative connotation associated with a company that is compliant.
What came as a bit of a surprise is that they are defendants in a lawsuit by Ziv Turner in Israel. I have no doubt that this will be settled if it hasn't already. My guess it's probably why the company's lawsuit against Ziv Turner in the New York County Supreme Court was also recently settled. The fact that they have been subpoenaed by the SEC with regards to the Friedland case is a bummer, but again not a surprise.
The following was a pleasant surprise: On August 1, 2017 we entered into a service agreement with PharmItBe Ltd (“PharmItBe”) for the development process of the second generation of our cannabis soluble tablet delivery system and preparing the tablet for clinical trials.
The part that pissed me off royally was that on April 19, 2017, the company entered into another consulting agreement with the SOB from Florida for business development and introduction to commercial partners. They issued this moron 416,127 fully vested shares. The only saving grace is that they were issued before Dr. Stanley Hirsch appeared on the scene.
