The notes always get converted at a discount, so there is no perk to dropping the PPS there. The only perk I can think of in a lower PPS is to either let someone load, or to flush people out by putting them in the red.
Lenders would like a higher PPS, your ability to stay on the QB I believe opens you up to more financing options. Also if you do intend to raise equity or even use more notes, a higher PPS means that less shares have to be issued to get your capitol. I don't know why you would want the shares to go down becaus eto me it seems that it would work against you.
In a scam you would want to sink to an RS so you can do it over again.
