Both Mr. Brain and Mr. Aspin are in an unusual situation right now where they supposedly have control of PTOI and are working on shareholders' behalf, but likely have zero influence. If everything goes south, Mr. Heddle only has to point his finger at them because he is only the CEO who was beholden to the board of directors. Sometimes these things do get to court and if Mr. Aspin and Mr. Brain don't have any excuses for why they didn't take any actions other than a vague, "Mr. Heddle told us what to do!," it could get ugly for them.
For example, if Mr. Aspin and Mr. Brain want to find out why the Veridisyn Technologies deal fell apart once it does but aren't told or if they want to start up the processors since there is currently money on the books to fix them and are told 'No', they had better keep really good records of their conversations.
Being on the board of directors could potentially cost Mr. Aspin and Mr. Brain more than the $400k-$500k each they each lost if they're not careful. Keeping personal records of all of their PTOI-related interactions could save them.
