LOS ANGELES, Dec. 06, 2017 (GLOBE NEWSWIRE) -- B. Riley Financial, Inc. (NASDAQ: RILY ) (the “ Company ”) today announced that on December 6, 2017 it priced an underwritten registered public offering of $70 million aggregate principal amount of 7.25% Senior Notes due 2027 (the “ Notes ”) at 100% of the principal amount. The Company has granted the underwriters a 30-day option to purchase up to an additional $10.5 million aggregate principal amount of Notes in connection with the offering solely to cover overallotments. B. Riley FBR, Inc., Incapital LLC, and Ladenburg Thalmann & Co. Inc. are acting as book-running managers for this offering, and Boenning & Scattergood, Inc., Wedbush Securities Inc. and William Blair & Company, L.L.C. are acting as co-managers for this offering. The offering is subject to customary closing conditions and is expected to close on Wednesday, December 13, 2017. The Company and the Notes each received an investment grade rating of “A-” from Egan-Jones Ratings Company, an independent, unaffiliated rating agency.
The Company expects to use the net proceeds of this offering for general corporate purposes.
The Notes will be offered under the Company's shelf registration statement on Form S-3, which was declared effective by the Securities and Exchange Commission.
