Leading Independent Proxy Advisory Firms ISS and Glass Lewis Recommend Royale Energy, Inc.

SAN DIEGO, Nov. 06, 2017 (GLOBE NEWSWIRE) -- Royale Energy, Inc. (OTCQB:ROYL) (the “Company” or “Royale”) announced today that Institutional Shareholder Services Inc. (ISS) and Glass, Lewis & Co., LLC (Glass Lewis) have both recommended that Royale shareholders vote "FOR" the proposed merger with Matrix Oil Management as described in the joint proxy statement/prospectus for the annual meeting of its shareholders to be held on Thursday, November 16, 2017. 

ISS and Glass Lewis are widely recognized as leading independent voting and corporate governance advisory firms.  Their analysis and recommendations are relied on by many major institutional investment firms, mutual funds and fiduciaries throughout North America.

In its report, ISS stated, among other things, that "The transaction will considerably increase the company's scale for oil production and is anticipated to place the company back in compliance for NASDAQ listing requirements.  Furthermore, initial reaction to both the letter of intent and definitive agreement announcements were markedly positive.  On balance, therefore, support for this proposal is warranted."

Additionally, Glass Lewis concluded that the merger warrants shareholder support and recommends that shareholders vote FOR the proposal.

Commenting on the proxy advisors' reports, Stephen M. Agreement and Plan of Merger and Reorganization   Royale and Matrix entered into an Amended and Restated Agreement and Plan of Merger, dated effective December 31, 2016, (the “Merger Agreement”) whereby Royale will acquire substantially all of Matrix, and Matrix affiliated entities in exchange for 50% of the common stock of Royale Energy Holdings, Inc., a newly formed Delaware corporation, the assumption by Royale of Matrix’s $12.4 million of senior secured debt, and the issuance of $20 million of a newly created 3.5% Series B Convertible Preferred Stock.  The Merger Agreement is subject to the approval of the shareholders of both companies, as well as other customary conditions and approvals, including the consent of Matrix’s senior secured lender.  The mergers are expected to qualify for federal tax purposes as a tax-free reorganization under Section 351 of the Internal Revenue Code of 1986, as amended.
